1. Acceptance of Terms

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and SQL Studio (“Company”, “we”, “us”, “our”). By accessing, browsing, or using the SQL Studio platform (the “Service”), you acknowledge that you have read, understood, and agree to be bound by all provisions of these Terms. If you do not agree with any part of these Terms, you may not use the Service.

2. Service Description

SQL Studio is an AI-powered database management platform that provides:

  • • Multi-database connectivity (PostgreSQL, MySQL, MariaDB, SQL Server, CockroachDB, SQLite)
  • • SQL query execution, management, and optimization tools
  • • AI-assisted SQL generation and natural language query processing
  • • Database schema exploration and analysis capabilities
  • • Multi-tab console for simultaneous query management
  • • Audit logging and usage tracking functionality
  • • User authentication and session management with automatic JWT token rotation
  • • Saved scripts and workflow management capabilities
  • • AI conversation threading and follow-up question support

3. User Accounts and Access

3.1 Account Creation

To use the Service, you must create an account through one of our supported authentication methods:

  • • Google OAuth sign-in
  • • Magic link email authentication
  • • QR code-based login

3.2 Account Responsibility

You are solely responsible for maintaining the confidentiality of your account credentials and any authentication tokens. You agree to:

  • • Provide accurate, current, and complete information during registration
  • • Maintain the security of your login credentials and immediately notify us of any unauthorized use
  • • Be responsible for all activities conducted through your account
  • • Not share your account with third parties or use others' credentials

3.3 Authentication Security

The Service implements automatic JWT token rotation with a 60 second refresh buffer before token expiry. You agree to allow the Service to automatically manage your session tokens for security purposes. In case of suspicious activity, we may revoke all active sessions for your account.

4. Database Connections and Data

4.1 Connection Credentials

When connecting to external databases through SQL Studio, you provide connection credentials and connection strings. You acknowledge and agree that:

  • • You have proper authorization to connect to specified databases
  • • All provided credentials are accurate and current
  • • You are responsible for maintaining database access permissions
  • • Database credentials are securely encrypted and stored in our MongoDB instance

4.2 User Data and Privacy

SQL Studio stores the following information:

  • • User profiles and authentication information (PostgreSQL via Drizzle ORM)
  • • Database connections and credentials (MongoDB)
  • • Saved scripts and queries (MongoDB)
  • • AI thread conversations and chat history (MongoDB)
  • • Usage analytics and token consumption metrics
  • • Audit logs including login attempts, token usage, and database operations

4.3 Data Integrity and Backup

While we employ reasonable security measures, you acknowledge that the Service is provided "as-is". We are not responsible for data loss, corruption, or deletion resulting from:

  • • Your failure to maintain proper backups
  • • Database connectivity issues or network failures
  • • Scheduled maintenance or system updates
  • • Force majeure events or circumstances beyond our control
  • • Your misuse or improper configuration of the Service

4.4 Database Query Operations

You are solely responsible for:

  • • All queries executed against your databases through the Service
  • • Ensuring queries comply with your organization's policies
  • • Backing up critical data before executing destructive operations
  • • Understanding the implications of queries before execution

5. AI Features and Generated Content

5.1 AI-Assisted SQL Generation

The AI assistant helps generate SQL queries from natural language descriptions. You acknowledge that:

  • • AI-generated queries may not always be optimal or correct
  • • You are responsible for reviewing queries before execution
  • • We are not liable for incorrect queries or data modifications resulting from AI suggestions
  • • AI assistance is provided as a convenience tool only

5.2 Schema Analysis and Summaries

The Service provides AI-powered schema analysis including:

  • • Automatic schema exploration and documentation
  • • Natural language schema summaries
  • • Relationship visualization and recommendations

These features are informational and should not be relied upon as authoritative documentation for critical database systems.

5.3 AI Conversation Threading

Conversations with the AI assistant are stored and associated with your user account and database connections for:

  • • Maintaining conversation context
  • • Enabling follow-up questions and refinements
  • • Service improvement and analytics

6. Token Usage and Costs

6.1 AI Token Tracking

The Service tracks AI model token usage including:

  • • Prompt tokens (input to the AI model)
  • • Completion tokens (output from the AI model)
  • • Total token counts and estimated costs
  • • Model provider and version information

6.2 Pricing and Billing

Token usage and pricing terms are subject to your specific subscription plan (if applicable). The Company may modify pricing with 30 days' notice. You are responsible for understanding and monitoring your usage and associated costs.

6.3 Usage Limits

The Company may impose reasonable usage limits to prevent abuse and ensure fair access for all users. Excessive usage may result in throttling or service restrictions.

7. Audit Logging and Monitoring

7.1 Audit Trail Maintenance

The Service maintains audit logs of:

  • • Login and logout events (success and failure)
  • • Token refresh and revocation events
  • • Unauthorized access attempts
  • • Magic link generation and verification
  • • AI agent interactions and queries
  • • API usage and token consumption

7.2 Metadata Collection

Audit logs capture:

  • • Your IP address
  • • Your user agent and browser information
  • • Timestamp of each event
  • • Associated user account and connection information

7.3 Access to Audit Logs

You may access your own audit logs through your account settings. We may use aggregated audit log data for security analysis, compliance, and service improvement purposes.

8. Prohibited Uses

You agree not to use the Service to:

  • • Access, query, or modify databases without proper authorization
  • • Attempt to breach, hack, or otherwise compromise the Service or any connected systems
  • • Reverse engineer, decompile, or attempt to discover the source code of the Service
  • • Engage in any form of automated data scraping or excessive requests
  • • Share account credentials or sell access to the Service
  • • Use the Service for illegal activities or to violate any applicable laws
  • • Harass, threaten, or defame other users of the Service
  • • Transmit malware, viruses, or any harmful code through the Service
  • • Access competitors' or third-party databases without authorization
  • • Violate data protection regulations (GDPR, CCPA, HIPAA, etc.)
  • • Export sensitive data without compliance considerations
  • • Use the Service in any manner that could damage, disable, or impair the platform

9. Intellectual Property Rights

9.1 Service Ownership

The Service, including all software, code, design, graphics, user interface, and documentation, is owned by SQL Studio or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the Service for your personal or internal business purposes in accordance with these Terms.

9.3 User Content

You retain ownership of any queries, scripts, or configurations you create ("User Content"). By storing User Content on the Service, you grant us a limited license to store, process, and display such content for service delivery and improvement.

9.4 Feedback

Any feedback, suggestions, or ideas you provide regarding the Service may be used by us without compensation or attribution.

10. Warranties and Disclaimers

10.1 As-Is Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. We disclaim all warranties, including but not limited to:

  • • Merchantability
  • • Fitness for a particular purpose
  • • Non-infringement of third-party rights
  • • Uninterrupted or error-free operation

10.2 No Guarantee of Results

We do not guarantee that:

  • • AI-generated queries will be optimal or correct
  • • The Service will meet all your requirements
  • • The Service will be uninterrupted or error-free
  • • Security vulnerabilities will not be discovered

10.3 Third-Party Services

The Service may integrate with third-party services (e.g., Google OAuth, AI model providers). We are not responsible for the availability, accuracy, or functionality of third-party services. Use of such services is subject to their respective terms and policies.

11. Limitation of Liability

11.1 Exclusion of Damages

To the fullest extent permitted by law, in no event shall SQL Studio be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising from or related to:

  • • Data loss or corruption
  • • Business interruption or loss of profits
  • • Loss of revenue or customers
  • • Reputational harm
  • • Inability to use the Service
  • • Any other matter related to the Service

11.2 Liability Cap

Our total liability for any claim arising from these Terms shall not exceed the amount you have paid to SQL Studio in the 12 months preceding the claim, or $100, whichever is greater.

11.3 Essential Term

You acknowledge that these limitations are essential terms of our agreement and that we would not provide the Service without them.

12. Indemnification

You agree to indemnify, defend, and hold harmless SQL Studio, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from or related to:

  • • Your use of the Service
  • • Your violation of these Terms
  • • Your violation of any applicable laws or regulations
  • • Your infringement or violation of third-party intellectual property rights
  • • Content or data you provide or process through the Service
  • • Your negligence or intentional misconduct

13. Compliance and Legal Issues

13.1 Regulatory Compliance

You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards, including but not limited to:

  • • Data protection laws (GDPR, CCPA, etc.)
  • • Industry-specific regulations (HIPAA, PCI-DSS, SOC 2, etc.)
  • • Export control regulations
  • • Anti-money laundering laws
  • • Database access and security regulations

13.2 Sensitive Data

If you process sensitive data (personal information, health records, payment card information, trade secrets, etc.), you:

  • • Remain solely responsible for compliance with applicable regulations
  • • Must implement appropriate security measures beyond the Service
  • • Should not store regulated data unless you have verified our compliance certifications
  • • Must maintain responsibility for proper data handling

13.3 Data Processing Agreements

If you process personal data subject to GDPR or similar regulations, we may require execution of a separate Data Processing Agreement (DPA). Contact us for details.

14. Service Modifications and Availability

14.1 Right to Modify

We reserve the right to modify, suspend, or discontinue any portion of the Service at any time, with or without notice. We will attempt to provide reasonable notice of material changes, but cannot guarantee such notice in all circumstances.

14.2 Maintenance and Downtime

The Service may experience planned maintenance, scheduled updates, or unplanned downtime. During downtime, you may be unable to access the Service or connected databases.

14.3 Service Level Agreement

We strive to maintain high availability but do not guarantee specific uptime percentages. Use of the Service for mission-critical operations is at your own risk.

14.4 No Liability for Downtime

We are not liable for any damages or losses resulting from service interruptions, maintenance, or unavailability.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Upon termination:

  • • Your account will be deactivated
  • • All active sessions will be revoked and refresh tokens invalidated
  • • You will lose access to saved scripts and conversation threads
  • • Your database connections will be removed from the Service

15.2 Termination by Us

We may terminate your account and access to the Service if you:

  • • Violate these Terms
  • • Engage in illegal, harmful, or abusive behavior through the Service
  • • Repeatedly violate our policies
  • • Fail to pay applicable fees (if applicable to your plan)

15.3 Data Upon Termination

Upon account termination, we may delete your data after a reasonable retention period. You are responsible for backing up any data you wish to preserve before account termination. We may retain audit logs and compliance records as required by law.

15.4 Surviving Provisions

Sections regarding indemnification, limitation of liability, and intellectual property will survive termination of these Terms.

16. Privacy and Data Protection

16.1 Data Collection

Our collection and use of personal data is governed by our separate Privacy Policy. By using the Service, you consent to our data practices described in the Privacy Policy.

16.2 Cookie and Tracking Technologies

We may use cookies, web beacons, and similar technologies for:

16.3 Data Retention

While we implement reasonable security measures, we cannot guarantee absolute security. No system is completely secure, and data breaches, hacking attempts, or other security incidents may occur.

17.3 Your Security Responsibility

You are responsible for:

  • • Keeping your credentials secure and not sharing them with others
  • • Using strong passwords and enabling multi-factor authentication
  • • Monitoring your account for suspicious activity and reporting unauthorized access
  • • Protecting your client devices and networks from malware

17.4 Breach Notification

In the event of a security breach affecting your data, we will attempt to notify you as required by applicable law. Your obligation to report breaches to authorities remains with you.

18.1 External Links

The Service may contain links to third-party websites and services not under our control. We are not responsible for the content, accuracy, policies, or practices of third-party sites.

18.2 Third-Party Integrations

Your use of third-party integrations (such as AI model providers, database drivers, or authentication services) is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or performance.

18.3 Third-Party Content

Any third-party content displayed in the Service is subject to the terms and licenses of the respective third parties.

19. Governing Law and Jurisdiction

19.1 Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which SQL Studio is incorporated, without regard to its conflict of laws principles.

19.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in the same jurisdiction. You agree to submit to the personal jurisdiction of such courts and waive any objection to venue.

19.3 Arbitration

Notwithstanding the above, we may pursue injunctive relief in any court of competent jurisdiction to prevent breaches of intellectual property rights or misuse of the Service.

21. Miscellaneous

21.1 Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and SQL Studio concerning the Service and supersede all prior negotiations, representations, and agreements, whether written or oral.

21.2 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be severed. The remaining provisions shall continue in full force and effect.

21.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or the right to enforce it at a later time.

21.4 Assignment

These Terms may not be assigned by you without our prior written consent. We may assign these Terms to any successor or affiliate without notice to you. Any attempted assignment in violation of this provision is void.

21.5 Amendment

We may amend these Terms at any time by posting the revised Terms on the Service. Your continued use of the Service after such posting constitutes acceptance of the revised Terms. We recommend reviewing these Terms periodically for changes.

21.6 Headings

Section headings in these Terms are for convenience only and do not affect interpretation or construction of the Terms.

21.7 Notices

All notices required under these Terms shall be in writing and shall be deemed given when sent via email to the email address associated with your account or when posted on the Service.

22. Acknowledgment

By accessing and using the SQL Studio Service, you acknowledge that you have read this entire Terms and Conditions agreement, understand it completely, and agree to be bound by all of its terms and conditions. If you do not agree with any part of these Terms, please discontinue use of the Service immediately.
